SWEEPSTAKES OFFICIAL RULES
No purchase is necessary to enter or win.
1. TO ENTER
This Sweepstakes is being offered by TooLove, Inc. a Tennessee corporation whose principal office is located at 735 Tulip Grove Rod, Hermitage, TN. 37135 (“Sponsor”) will commence at 12:00 am Central Standard Time (CST) Thursday, November 27, 2008 and close at 12:00 am CST on Sunday, December 14, 2008. To enter, you (referred to as the “entrant”) must fill out and submit the entry form located at http://www.tooloveinc.com/nyebtickets/sweepstakes before 11:59 pm CST on December 14, 2008. Entries posted after 11:59 pm CST on Sunday, December, 14, 2008, will not be accepted. Entrant must also comply with these Official Rules and any other documents submitted to entrant by Sponsor, all of which are a part of these Official Rules.
A. Entrant must be an individual and must be the Authorized Account Holder of the email address from which the entry is submitted. "Authorized Account Holder" means the individual who is assigned an e-mail address by an internet access provider, on-line service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Entries generated by a script, macro or other automated means will be disqualified. Entries that are incomplete, illegible or corrupted are void and will not be accepted.
B. Only one entry form per entrant may be completed and submitted. Multiple entries from the same individual, whether under the same e-mail address or under multiple e-mail addresses or otherwise, will not be accepted and will result in disqualification.
C. All entries become the property of Sponsor, and will not be acknowledged or returned.
D. By completing and submitting the entry form, entrant promises that he or she has not transferred any virus, worm, spyware, grayware, trojan horse, botnet, rootkit, dialer or any other software, code, algorithm, or program whether currently existing or later developed that could destroy, contaminate, or hinder the performance of or take information from Sponsor’s network and computers.2. ELIGIBILITY
The Sweepstakes is open to legal residents of the continental United States, excluding Rhode Island, ages 18 or older, who have had an e-mail address prior to the first date of the Sweepstakes. Void where prohibited or restricted by applicable federal, state or local laws and regulations. Employees of Sponsor, and the Affiliates (as defined below), and any of their parents, affiliates, subsidiaries, agents, retailers, advertising and promotional agencies and their immediate families and persons living in the same household as such persons are not eligible to participate or win. This promotion is intended for viewing and participation in the continental United States only and shall only be construed and evaluated according to United States law. You are not authorized to participate in the Sweepstakes if you are not a citizen or permanent resident of the continental United States. By entering the Sweepstakes, you certify that you are 18 years of age or older.
3. SELECTION OF WINNER
One (1) winner will be selected in a random drawing conducted on or about the 15th day of December, 2008 from all eligible entries received. The winner will be notified by phone and email. The winner will be required to sign and return to Sponsor, an Affidavit of Eligibility, Publicity Release and Release of Liability within seven (7) days after the date of the notification, or an alternate winner will be selected at random from the remaining eligible entries. If the winner cannot be notified within twenty-four (24) hours after the drawing, or in the event of non-compliance with the foregoing sentence or any other provision in these Official Rules, the winner will forfeit the Prize, and an alternate winner will be selected at random from the remaining eligible entries. Odds of winning depend on the total number of entries received and Sponsor makes no promise and nor is a promise to be implied from these Official Rules that a particular entrant will win. The name of the winner will be posted at www.tooloveinc.com.
4. PRIZE
The Prize: Subject the Official Rules, the winner will receive an expensive paid trip to B. Haley’s New Year’s Eve Bash Music City Getaway on December 31, 2008, which shall consist of the following:
A. Two (2) coach-class airline tickets on an airline carrier selected by Sponsor to Nashville, Tennessee and from which to return home. Approximate retail value $800.
B. One (1) hotel room to be selected by Sponsor for one (1) night at the Opryland Resort and Convention Center in Nashville, Tennessee. Sponsor shall pay room charges and taxes only. Approximate retail value $400. All incidental charges, including but not limited to meals, spa services, tours and concierge services shall be the responsibility of entrant.
C. Two (2) tickets to B. Haley’s New Year’s Eve Bash on December 31, 2008. Retail Value $170.
The Prize package is non-transferable and may not be redeemed for cash. Entrant shall be responsible for payment of all federal, state and local taxes. The Prize consists of only those items specifically described in these Official Rules. Sponsor reserves the right to change, cancel or otherwise modify the Prize in its sole discretion.
5. LIMITATION OF LIABILITY
Sponsor, and its directors, officers, members, employees, agents, partners, sponsors, affiliates, subsidiaries, and successors and assigns (the “Affiliates”) shall have no liability and shall be held harmless by entrant or winner for any damage, loss or liability to person or property, due in whole or in part, directly or indirectly, by reason of the acceptance, possession, use or misuse of the Prize or participation in the Sweepstakes. In addition to not being responsible for any damage, loss or liability whatsoever, Sponsor and Affiliates shall not be responsible for:
(1) telecommunications, network, electronic, technical or computer failures of any kind whatsoever, for inaccurate transmission or transcription of entry information, for any human error, or for entries that are stolen, misdirected, garbled, delayed by computer transmissions, lost, late or damaged, and all such entries are void;
(2) entrant’s inability to access the registration site, or any other error or malfunction which may occur, including any injury or damage to entrant’s or any other person's computer related to or resulting from participation in this Sweepstakes. In case of dispute, entries will be declared made by the Authorized Account Holder of the e-mail address submitted at the time of entry;
(3) the failure, negligence or intentional conduct of the airline carrier that results in harm or damage to you; and
(4) the failure, negligence or intentional conduct of Opryland Resort and Convention Center that results in harm or damage to you.
Sponsor may prohibit an entrant from participating in the Sweepstakes or receiving the Prize if, in its sole discretion, it determines that said entrant is in violation of the Official Rules or is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or other unfair practices (including the use of automated quick entry programs) or intending to annoy, abuse, threaten or harass Sponsor, any Affiliates or any other entrant. All disputes, claims and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, shall be resolved individually, without resort to any form of class action, and exclusively by an arbitration panel located in Nashville, Tennessee. Any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorney's fees. Sponsor reserves the right, in its sole discretion, to cancel, modify, suspend part or all of this Sweepstakes should a virus, worm, spyware, grayware, trojan horse, botnet, rootkit, dialer or any other software, code, algorithm, or program whether currently existing or later developed or other causes beyond the control of Sponsor corrupt or impair the administration, security, fairness or proper play of the Sweepstakes. In such event, Sponsor may re-offer the Prize in a random drawing from all eligible entries received up to the date of cancellation or suspension.6. PUBLICITY
By participating, where allowed by law, entrant agree that Sponsor and Afflilates may use winner's name, picture, portrait, likeness and voice for advertising and promotional purposes without further compensation and may disclose certain data obtained from entrant in the Sweepstakes to third parties and use such information for marketing purposes or other purposes.
7. ADDITIONAL RULES
Entrant agrees to abide by these Official Rules as stated or as later amended. All decisions made by Sponsor regarding this Sweepstakes and the Official Rules are final. By entering, entrant also agrees to waive any right to claim ambiguity or error in these Official Rules or in the Sweepstakes itself. Failure to comply with these Rules may result in disqualification from this Sweepstakes or any other promotion being offered by Sponsor. Sponsor reserves the right to permanently disqualify from any other sweepstakes promotion any person it believes has violated the Official Rules.
